Terms of Service for Vera

These Terms & Conditions (“Terms”) govern your access to and use of Vera — the AI-powered marketing assistant for businesses (the “Service”) — operated by Samast Technologies Pvt. Ltd. (“we,” “our,” or “us”).

By accessing or using Vera, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, please do not use the Service.

1. Eligibility

Vera is intended for use by business owners, operators, and their authorized representatives. By using the Service, you represent that:

• You are at least 18 years of age
• You have the authority to act on behalf of the business whose profiles and accounts you connect to Vera
• You are capable of entering into a legally binding agreement under applicable law

2. Description of the Service

Vera helps businesses manage their online presence, including but not limited to:

• Managing Google Business Profile listings — attributes, hours, and descriptions
• Monitoring customer reviews and drafting AI-generated replies
• Enhancing and publishing photos, videos, and posts with generated captions
• Publishing content and managing comments, messages, and insights on connected Instagram Business or Creator accounts
• Responding to customer inquiries on Google, WhatsApp, Instagram, RCS, SMS/MMS, and other connected channels
• Processing voice commands to execute business actions
• Providing performance analytics across business locations

We may add, modify, or discontinue features of the Service at any time. Some features may be available only via a paid subscription plan.

3. Account & Connected Platforms

To use Vera, you authenticate via Google OAuth and may connect additional platforms such as an Instagram Business or Creator account. You agree that:

• You will only connect accounts and profiles that you own or are authorized to manage
• You are responsible for maintaining the confidentiality of your account and for all activity that occurs under it
• Your use of Google services through Vera is also subject to Google’s API Services User Data Policy and applicable Google terms
• Your use of Instagram through Vera is also subject to Meta’s Platform Terms and the Instagram Platform Policy
• You may disconnect Vera from your Google or Instagram account at any time; doing so may limit or disable parts of the Service

4. Subscriptions, Fees & Payments

• Certain features of Vera require a paid subscription. Applicable plans, pricing, and billing cycles are presented to you at the time of purchase.
• Fees are payable in advance and, except where required by applicable law or expressly stated otherwise, are non-refundable.
• Subscriptions may renew automatically at the end of each billing cycle unless cancelled before renewal.
• We may revise pricing from time to time. Price changes will apply from your next billing cycle after reasonable notice.
• Taxes, levies, or duties applicable to your purchase are your responsibility unless stated otherwise.

5. AI-Generated Content

Vera uses artificial intelligence to draft review replies, captions, posts, profile descriptions, and inquiry responses. You acknowledge and agree that:

• AI-generated content may contain inaccuracies, and you are responsible for reviewing content before it is published where approval settings apply
• Where you enable automatic responses (for example, on customer messaging channels), content may be published on your behalf according to the settings you configure
• You remain solely responsible for all content published to your profiles and channels through Vera, including AI-generated content

6. Your Responsibilities & Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party right
• Publish content that is false, misleading, defamatory, obscene, infringing, or otherwise unlawful
• Send spam or unsolicited messages, or message customers without any consent required by applicable law
• Misrepresent your identity or your affiliation with any business, or connect accounts you are not authorized to manage
• Interfere with, disrupt, reverse engineer, or attempt to gain unauthorized access to the Service or its systems
• Use the Service to build a competing product, or resell or sublicense the Service without our written consent

You are the controller of your customers’ personal data processed through Vera, and you are responsible for providing any notices to, and obtaining any consents from, your customers that applicable law requires.

7. Intellectual Property

• The Service — including its software, design, branding, and all related intellectual property — is owned by us or our licensors. These Terms do not grant you any rights in the Service other than the limited right to use it.
• You retain ownership of the content you upload (such as photos and business information). You grant us a limited, non-exclusive license to host, process, and transmit that content solely to operate and improve the Service.
• To the extent permitted by applicable law, content generated by Vera for your business may be used by you for your business purposes once published.

8. Third-Party Services

The Service integrates with third-party platforms such as Google, Instagram (Meta), WhatsApp, and telecom/messaging providers. We do not control these platforms and are not responsible for their availability, policies, or actions — including suspension of your accounts or changes to their APIs that affect the Service. Your use of those platforms is governed by their own terms and policies.

9. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will achieve any particular business outcome — including improvements in reviews, rankings, visibility, or sales.

10. Limitation of Liability

To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service. Our total aggregate liability for all claims arising out of or relating to the Service shall not exceed the amount paid by you to us for the Service in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Samast Technologies Pvt. Ltd., its affiliates, and their officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, your violation of these Terms, or your violation of any third-party right or applicable law.

12. Suspension & Termination

• You may stop using the Service and disconnect your accounts at any time. You may request deletion of your Vera account data as described in our Privacy Policy.
• We may suspend or terminate your access to the Service if you breach these Terms, misuse the Service, or where required to comply with law or platform policies.
• Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) shall survive.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Subject to applicable law, the courts at Gurugram, Haryana, India shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Service.

14. Changes to These Terms

We may update these Terms as needed. Changes will be posted on this page. Continued use of Vera after changes are posted constitutes your acceptance of the updated Terms.
